1. Agreement
These Terms of Service ("Terms") govern access to and use of the websites, applications, APIs, and related services offered by Digilaine(collectively, the "Services"). By creating an account, clicking to accept, or using the Services, you agree to these Terms and our Privacy policy.
If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to the entity and its authorized users.
If you do not agree, do not use the Services. We may refuse service to anyone, subject to applicable law.
2. Accounts and eligibility
You must provide accurate registration information and keep it current. You are responsible for safeguarding credentials and for all activity under your account. Notify us promptly at support@us.digilaine.com if you suspect unauthorized access.
3. License to use the Services
Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes as a creator or seller of digital products. You may not sublicense, sell, resell, scrape, reverse engineer (except to the limited extent permitted by mandatory law), or attempt to extract source code or models except through documented APIs.
4. Marketplace relationship
Digilaine provides software, hosting, checkout tooling, and related infrastructure. Unless we explicitly identify ourselves as the seller on a checkout page, you—not Digilaine—are the seller of your digital products. You are solely responsible for your product descriptions, pricing, taxes where applicable, refunds and support promises to customers, and compliance with consumer protection, marketing, and industry-specific laws in the regions where you market and sell.
Buyers may be subject to separate Customer terms.
5. Your content and intellectual property
You retain ownership of intellectual property rights in content you submit. You grant Digilaine a worldwide, non-exclusive license to host, reproduce, modify (for example to format or secure files), display, and distribute your content solely to operate, improve, promote (if you opt in), and secure the Services—including delivering purchased products to customers and generating previews you authorize.
You represent that you have all rights necessary to grant the foregoing license and that your content does not infringe third-party rights or violate law. You may not upload malware, unlawful material, or content that violates our acceptable-use expectations in Section 6.
6. Acceptable use
You agree not to:
- Use the Services for unlawful, fraudulent, harassing, defamatory, discriminatory, or deceptive activity;
- Infringe intellectual property, privacy, publicity, or other rights of any person;
- Circumvent technical limits, billing, or security controls, or probe or attack our systems without authorization;
- Send unsolicited bulk commercial email through our tools in violation of anti-spam laws;
- Misrepresent affiliation with any person or entity, or impersonate Digilaine staff; or
- Use outputs to develop competing models or services in violation of any product-specific terms we publish.
7. Copyright complaints
We respect intellectual property rights. If you believe material on the Services infringes your copyright, send a detailed notice to support@us.digilaine.com with the subject "DMCA notice" and include: identification of the work claimed infringed; identification of the material and its location; your contact information; a statement of good faith belief; a statement of accuracy under penalty of perjury; and your physical or electronic signature. We may remove or disable access to material in appropriate circumstances and terminate repeat infringers where required by law.
8. Fees, taxes, and third-party charges
Subscription and platform fees are described at checkout and in your account. Fees are exclusive of applicable taxes unless stated otherwise. Payment processing is handled by third-party providers; their terms and network fees apply in addition to ours. You are responsible for determining, collecting, and remitting any taxes on your sales where the law places that obligation on you as seller.
See our Refund policy for subscription and platform-fee treatment.
9. Suspension and termination
We may suspend or terminate access to the Services immediately if we reasonably believe you have violated these Terms, created risk or possible legal exposure for us or others, or for prolonged payment failure, security incidents, or abuse. You may stop using the Services at any time. Provisions that by their nature should survive (including payment obligations, indemnities, limitations of liability, and dispute terms) will survive termination.
10. Disclaimers
To the maximum extent permitted by applicable law, the services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or free of harmful components, or that AI-assisted outputs will be accurate or suitable for any regulated use without human review.
11. Limitation of liability
To the maximum extent permitted by applicable law, in no event will Digilaine, its affiliates, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, goodwill, data, or business opportunities, arising out of or related to the services or these terms, whether or not we have been advised of the possibility of such damages. Our aggregate liability for all claims arising out of or related to the services during any twelve-month period is limited to the greater of (a) one hundred u.s. dollars (us$100) or (b) the fees you paid to Digilaine for the services during that period. These limitations do not apply where prohibited by law (for example, liability for gross negligence, willful misconduct, or death or personal injury caused by negligence in some jurisdictions).
12. Indemnity
You will defend, indemnify, and hold harmless Digilaineand its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your content, your products, your marketing, your breach of these Terms, or your violation of law or third-party rights.
13. Governing law and disputes
Except where mandatory consumer or other non-waivable laws of your country require otherwise, these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Subject to the foregoing sentence, exclusive jurisdiction and venue for disputes arising out of or relating to these Terms or the Services will lie in the state and federal courts located in Delaware, and you consent to personal jurisdiction there. Before filing a claim, the parties agree to attempt in good faith to resolve disputes informally for at least thirty (30) days by contacting support@us.digilaine.com.
14. Changes
We may modify these Terms from time to time. We will post the updated Terms on this page and update the effective date. If a change is material, we will provide additional notice as appropriate (for example email or in-product notice). Continued use after the effective date of changes constitutes acceptance of the revised Terms, except where your express consent is required by law.
15. General
These Terms constitute the entire agreement between you and Digilaine regarding the Services and supersede prior agreements on the same subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
